Terms

Terms of Service.

In plain English

From the founder

The short version: you pay for Cedrus, you get Cedrus. The blueprints you upload and the bids you build are yours. We don’t use your project data to train anything, and if you want out, cancel — no lock-in, no export fee, no gotchas.

The measurement accuracy disclaimer below is the clause we want you to actually read. Cedrus is a force multiplier for your estimators, not a substitute for verifying your numbers. Always spot-check.

Jacob Muzychenko

01

Who we are#

The Service is operated by Cedrus Takeoffs, LLC, a Colorado limited-liability company with a registered business address at 1500 N Grant St #10453, Denver, CO 80203. References in these Terms to “Cedrus,” “we,” “us,” or “our” refer to Cedrus Takeoffs, LLC.

02

Acceptance of terms#

By accessing or using Cedrus Pro Takeoff (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these terms.

03

Description of service#

Cedrus Pro Takeoff is a web-based construction takeoff and estimation tool. The Service allows users to upload blueprints, measure areas and quantities, generate estimates, manage subcontractor pricing, and share work orders.

04

Accounts#

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials. You must provide accurate information during registration and keep it updated. Each account is tied to a company, and access is managed by your company’s administrators.

05

Subscription & billing#

The Service is offered in Solo, Pro, Pro+, and Enterprise tiers. Paid subscriptions are sold and billed by Paddle.com Market Limited (UK) or Paddle.com Inc. (US), depending on your location, acting as our merchant of record. By purchasing a subscription you also agree to Paddle’s Buyer Terms.

Subscriptions are billed in advance, monthly or annually. Pro annual saves roughly 20% versus monthly. You may cancel at any time from the customer portal; access to paid features continues through the end of the current billing period and is not pro-rated. We reserve the right to change pricing with 30 days’ notice; existing subscribers keep their current rate through the end of their current billing cycle.

Where offered, the 14-day Pro free trial converts automatically to a paid subscription at the end of the trial period unless you cancel before it ends. We’ll email you a reminder before the conversion. Refunds are governed by our Refund Policy.

06

Sales tax & VAT#

Because Paddle is the merchant of record, Paddle is responsible for calculating, collecting, and remitting any applicable U.S. sales tax, VAT, or GST based on your billing address. Quoted prices ($49 per seat per month, $470 per seat per year) are pre-tax for U.S. business customers; consumer purchases in jurisdictions where Paddle is required to bake tax into the displayed price will see the inclusive amount at checkout. The exact tax line will appear on the receipt Paddle issues.

07

Refunds#

Refunds are issued by Paddle in accordance with their Buyer Terms. The Cedrus refund policy summary:

  • Within 30 days of your first paid charge — full refund on the first non-trial charge, no questions asked. Email us at support@cedrustakeoffs.com or request directly from your Paddle receipt.
  • Within 14 days of any subsequent charge — including monthly renewals, plan upgrades, and annual renewals. Same email; same process.
  • After those windows— we don’t pro-rate refunds for partial billing periods. Cancel any time and you keep access through the end of the period you’ve already paid for.
  • Free trial— cancel before the 14-day Pro trial ends and you won’t be charged. No refund needed.
  • EU & UK consumers— the statutory 14-day right of withdrawal applies regardless of the windows above and is fulfilled by Paddle as the merchant of record on our behalf.

Chargebacks and payment disputes are handled by Paddle as the merchant of record. If you have a billing dispute, please email us first — we’ll usually resolve it directly without a chargeback being needed. Full detail lives at /refund.

30 days on the first paid charge. 14 days on every charge after that.
08

Your data#

You retain ownership of all data you upload to the Service, including blueprints, measurements, and pricing information. We do not claim any intellectual property rights over your content. You grant us a limited license to store and process your data as necessary to provide the Service.

Your blueprints. Your bids. Your IP. We don't train on it.
09

Acceptable use#

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users’ data
  • Interfere with or disrupt the Service infrastructure
  • Reverse engineer or attempt to extract source code
  • Share your account credentials with unauthorized parties
  • Upload malicious files or content
10

Disclaimer of warranties#

The Service is provided “as is” without warranties of any kind. While we strive for measurement accuracy, you are responsible for verifying all takeoff measurements and estimates before using them for bidding or purchasing decisions. We do not guarantee the accuracy of calculations or the availability of the Service.

Read this one. Spot-check every bid.
11

Limitation of liability#

To the maximum extent permitted by law, Cedrus Takeoffs, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities.

12

Termination#

We may suspend or terminate your access to the Service at any time for violation of these terms. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

13

Changes to terms#

We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance.
